1. Agreement to Terms
By accessing or using Enginuity Design Studio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
Enginuity Labs ("we," "us," or "our") operates Enginuity Design Studio, including the desktop application, web services, and all related AI agents (collectively, "the Service").
2. Description of Service
Enginuity Design Studio is an AI-powered engineering design automation platform that:
- Translates natural language into executable design operations across multiple domains
- Integrates with third-party software platforms (CAD, PCB design tools, simulation software)
- Provides specialized AI agents:
- Archimedes: CAD automation and 3D modeling
- Tesla: PCB design and electronic design automation
- Da Vinci: Engineering simulation, FEA, CFD, and multiphysics analysis
- Stores user conversations, design history, and project files
- Executes code and automation scripts in connected software environments
3. User Accounts
3.1 Account Creation
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You must be at least 18 years old to use the Service. If you are between 13 and 17 years of age, you may only use the Service with verifiable parental or guardian consent
3.2 Account Security
- You must notify us immediately of any unauthorized use of your account
- We are not liable for any loss or damage arising from your failure to maintain account security
- You may not share your account credentials with others
3.3 Account Termination
- You may terminate your account at any time by contacting us at support@enginuitylabs.org
- We reserve the right to suspend or terminate accounts that violate these Terms
- Upon termination, your right to use the Service will immediately cease. Data retention following termination is governed by Section 8
4. Use of Service
4.1 Acceptable Use
You agree to use the Service only for lawful purposes. You agree NOT to:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers and networks connected to the Service
- Use the Service to create designs for weapons, illegal devices, or harmful products
- Design or manufacture products that infringe on others' intellectual property rights
- Bypass rate limits or abuse API access
- Use automated tools to access the Service without permission
4.2 Third-Party Integrations
- The Service integrates with third-party engineering software platforms
- You are responsible for complying with the terms of service of these third-party platforms
- We are not responsible for the availability, functionality, or policies of third-party services
- You must maintain valid licenses and subscriptions for any third-party software you use
4.3 Onshape Integration
The Archimedes agent integrates directly with Onshape, a third-party CAD platform operated by PTC Inc. When you use Archimedes within Onshape:
- Archimedes accesses your Onshape documents, part studios, assemblies, and feature trees solely to perform design operations you request
- We store data from your Onshape sessions, including document context and design operations, solely to provide the Service. We do not share or sell this data to third parties
- You are responsible for ensuring you have the appropriate Onshape subscription and permissions to use third-party integrations
- We comply with Onshape's platform policies and developer terms
- Revoking Archimedes' access to your Onshape account does not automatically delete data already processed. Please refer to Section 8 for information on data retention
4.4 API Keys and Credentials
- You are responsible for obtaining and managing your own API keys for third-party services
- For web-based integrations (such as Onshape), authentication is handled via OAuth; we do not store your platform passwords
- You are liable for all activity conducted using your credentials
5. AI-Generated Content
5.1 Code Generation
- The Service uses AI to generate code and automation scripts
- AI-generated code is provided "as is" without warranties of any kind
- You are responsible for reviewing and validating all AI-generated code before execution
- We are not liable for errors, bugs, or unintended results from AI-generated code
5.2 Design Responsibility
- You retain full responsibility for all designs created using the Service
- You must ensure designs meet safety, legal, functional, and regulatory requirements
- The Service is a tool; final design decisions and engineering sign-off are your responsibility
- We are not liable for designs that fail, cause damage, or violate regulations
5.3 Simulation and Analysis
- AI-generated simulation setups and parameters are suggestions only
- You must validate all simulation results and boundary conditions
- Physical testing and validation remain your responsibility
- Simulation results do not constitute engineering certification or approval
6. Subscription and Payment
6.1 Plans
- Free Plan: Limited usage with daily rate limits
- Pro Plan: Increased limits and priority features
- Enterprise Plan: Custom limits and dedicated support
6.2 Billing
- Paid subscriptions are billed monthly or annually
- All fees are non-refundable except as required by applicable law, including consumer protection legislation in your jurisdiction
- We reserve the right to change pricing with 30 days' prior written notice
- Failure to pay may result in service suspension or termination
6.3 Beta Access
- Beta features are provided free during testing periods
- Beta features may be unstable, incomplete, or contain bugs and are excluded from any service level commitments
- We may change or remove beta features at any time without notice
- Beta testers may receive preferential pricing or features
- Beta pricing and features may change without notice
7. Intellectual Property
7.1 Service Ownership
The Service, including all code, designs, trademarks, and content, is owned by Enginuity Labs. These Terms do not grant you any ownership rights to the Service.
7.2 User Content
- You retain ownership of designs and models you create
- You grant us a limited license to store and process your content solely to provide and improve the Service
- We may use aggregated, anonymized data — from which all personally identifiable information and design-identifying details have been removed — to improve our AI models. We will not use your specific designs or project data in a way that would allow identification of you or your work
7.3 Feedback
Any feedback, suggestions, or ideas you voluntarily provide may be used by us to improve the Service. We may use feedback without compensation or attribution. Where feedback constitutes personal data, it will be handled in accordance with Section 8.
8. Privacy and Data
8.1 Data Collection and Use
We collect and store information as described in our Privacy Policy, including user conversations, design history, and data processed through third-party integrations, in order to provide, maintain, and improve the Service. By using the Service, you consent to such data collection and processing.
We do not sell your personal information or CAD data to third parties.
8.2 Data Retention
We retain your account data, conversation history, and design files for the duration of your account and for a period of seven (7) years following account termination or the end of the applicable business relationship, unless a longer retention period is required or permitted by applicable law. This retention period reflects our legitimate business interests including AI model improvement, dispute resolution, legal compliance, and business record-keeping.
Anonymized and aggregated data, from which all personal and project-identifying information has been removed, may be retained indefinitely for purposes of model training and service improvement.
8.3 Retention and Applicable Law
Notwithstanding Section 8.2, if you are located in a jurisdiction that grants data subjects specific rights — including the right to erasure under India's Digital Personal Data Protection Act, 2023 ("DPDP Act"), the European Union's General Data Protection Regulation ("GDPR"), or equivalent legislation — we will honor those rights to the extent required by law.
Where we are required by law to retain certain data (such as financial records or communications required under Indian law), erasure requests may be fulfilled only after any mandatory retention period has elapsed.
To submit a data access or deletion request, contact us at support@enginuitylabs.org. We will respond within 30 days, or within the timeframe required by applicable law if shorter.
8.4 Data Security
We implement commercially reasonable technical and organizational measures to protect your data against unauthorized access, disclosure, or loss. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
9. Disclaimers and Limitation of Liability
9.1 Service Availability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- We are not liable for any indirect, incidental, special, or consequential damages
- We are not liable for lost profits, data loss, or business interruption
- Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months prior to the claim
Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law, including applicable consumer protection legislation.
9.3 Design and Safety
- We are not responsible for the safety, functionality, legality, or regulatory compliance of designs created using the Service
- Users must validate all designs against applicable standards and regulations
- We are not liable for damages caused by failed or defective designs
- Engineering decisions, manufacturing, and product certification are solely your responsibility
10. Indemnification
Subject to any limitations under applicable law, you agree to indemnify, defend, and hold harmless Enginuity Labs and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Designs or products you create using the Service
- Product liability claims arising from designs you create
- Safety or regulatory violations of products you design or manufacture
11. Modifications to Service and Terms
- We may modify, suspend, or discontinue any part of the Service at any time
- We may revise these Terms at any time
- We will notify users of material changes via email or in-app notification at least 14 days before changes take effect
- Continued use of the Service after changes take effect constitutes acceptance of the revised Terms
- If you do not agree to revised Terms, you must stop using the Service before the changes take effect
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and other applicable Indian legislation, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails within 30 days, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator agreed upon by both parties, and proceedings conducted in English.
Nothing in this Section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

14. Beta Testing Terms
- Beta features are provided for testing purposes only and are excluded from any service availability commitments
- Beta features may be unstable, incomplete, or contain bugs
- We may change or remove beta features at any time without notice
- Beta testers agree to provide feedback on their experience; such feedback is subject to Section 7.3
BY USING ENGINUITY DESIGN STUDIO, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
